Yahoo! Inc. (NASDAQ:YHOO) was caught off-guard as TRC Capital Corporation placed a bid to purchase nearly 3 million shares of the search engine company at $37.45 per share. Not only was the bid unexpected but it was lower by 4.56% than the closing price of July 22. The stock fell by 2.61% to close at $37.83. TRC Capital Corporation’s bid is for nearly 0.32% of the outstanding shares.

Mini-tender offer unsolicited

Yahoo! Inc. (NASDAQ:YHOO) has recommended to its shareholders that they do not endorse the ‘mini-tender’ offer and ‘tender’ their shares.

TRC Capital unsolicited offer is not just to Yahoo, but several other public companies as well. The advantage with making mini-tender offers, is that, company’s can seek as much as 5% of the outstanding shares and get away with not making many of the disclosures which are otherwise required by the SEC.

Standard SEC guidelines caution against such mini-tenders. The regulatory body suggests that there are some bidders who propose mini-tender offers, at prices that are below the prevailing market prices. The bogey in the offer is that investors who are off-guard may not compare the offer price and market price and succumb to the offer.

Going by SEC guidelines and own strategic policies, Yahoo! Inc. (NASDAQ:YHOO) has recommended that shareholders do not tender their shares to such below-par prices. The company also recommends that those who have responded to such an offer by TRC Captil can be withdrawn before noon, August 21, 2015 New York City time.

Yahoo! Inc. (NASDAQ:YHOO) has been under stress by investors about its Chinese ecommerce giant Alibaba Holdings stake. Many investors recommend the selling-off of the stock and bringing value to the shareholders.
